Service Agreement

Important: Please read this agreement carefully. By accessing or using the website, submitting an inquiry or quotation request, accepting a quote, or placing an order with CasaRasoi for cutting boards, kitchen or home storage products, or related manufacturing services, You represent that (1) You have read, understand, and agree to be bound by this agreement, (2) You are of legal age to form a binding contract with CasaRasoi, and (3) You have the authority to enter into this agreement personally or on behalf of the entity You represent. If You do not agree to be bound by this agreement, You may not access or use this website or the services.

These terms and conditions (the “Agreement”) govern your (“You” or “Your”) use of the website operated under the brand CasaRasoi by Taizhou Jiale Kitchen Co., Ltd. (“CasaRasoi,” “we,” “us,” or “our”) at casarasoi.com and associated domains (the “Website”), and Your purchase of cutting boards, home storage products, OEM/ODM manufacturing, private-label programs, custom product development, and related supply services (the “Services”). Manufacturing and fulfillment are based at our facility in Taizhou, Zhejiang, China, with export typically routed through Ningbo Port and Shanghai Port.

CasaRasoi may modify these terms at any time. Modifications are effective immediately upon posting for orders placed after posting. CasaRasoi will update the “Last Updated” date at the top of this Agreement. Material changes may also be emailed to the last address You provided. Changes are effective immediately for new users and thirty (30) days after posting or notice for existing users (whichever is earlier). If You do not agree to changes after notice, stop using the Website and/or Services. Continued use constitutes acceptance of the modified terms.

CasaRasoi only uses Your personal information as described in our Privacy Policy. You represent and warrant that any data, records, specifications, artwork, and files You transmit will only contain personal information for which You have provided all necessary notices and obtained all applicable consents required by law to enable us to make available the Services.

1. SERVICES

1.1 About the Services

CasaRasoi supplies cutting boards and related kitchen and home products for distributors, retailers, brands, and industrial buyers, including wholesale cutting boards, custom plastic cutting boards, stainless steel cutting boards, shaped and novelty boards, wheat straw boards, non-slip boards, faux marble boards, camping boards, custom home storage, and OEM, ODM, and private-label programs. When You submit Specifications (as defined below) for a supply or tooling project, CasaRasoi will manufacture, or arrange for the manufacture and delivery of, the products pursuant to Your order (each, a “Product”). CasaRasoi may engage trusted partners for packing, testing, warehousing, or logistics in connection with fulfilling Your order.

1.2 Responsibilities When Using the Services

By using the Services, You agree to:

• Comply with all applicable laws and regulations, including intellectual property, data, privacy, food-contact, product safety, and export control laws;
• Upload and disseminate only content You own or are authorized to share (and that is not subject to confidentiality obligations prohibiting disclosure to CasaRasoi for manufacturing or quoting), consistent with applicable law;
• Use reasonable efforts to prevent unauthorized access to inquiry or order communications with CasaRasoi; and
• Promptly notify CasaRasoi of suspected illegal or unauthorized activity or a security breach involving Your inquiry, order, or credentials.

If CasaRasoi has reason to believe You failed to comply, CasaRasoi may without notice suspend or terminate access and refuse current or future use of the Services.

2. INQUIRIES AND COMMUNICATIONS

To use certain Services, You may submit a contact form on /contact/, email, WhatsApp, WeChat, or other inquiry. You agree to (1) provide true, accurate, current, and complete information about You and Your company; and (2) maintain and promptly update such information. You are responsible for activities under Your inquiry or order communications. If information is untrue, inaccurate, or incomplete, or CasaRasoi reasonably suspects it is, CasaRasoi may decline, suspend, or terminate Your inquiry or order and refuse further use of the Website and Services.

3. ORDERING PROCESS

3.1 Placing Orders

To place an order, You must submit acceptable product requirements (for example product type/model, material, dimensions, color, logo or branding, packing, quantity, destination, Incoterms preference, and any labeling requirements). Certain MOQ, mold, and packaging restrictions may apply. For an additional fee, You may request samples, mold development, third-party testing support, or special certifications. CasaRasoi will not alter agreed Product Specifications without Your written approval. You may review estimated costs (tooling, production, delivery, and other charges when applicable) in CasaRasoi’s quotation (the “Quote”). No contract to supply any Product exists until CasaRasoi acknowledges Your acceptance of its Quote by confirmatory email, pro forma invoice acceptance, or other appropriate means determined by CasaRasoi. Because many orders are custom manufactured, molded, or packed, You may not cancel a confirmed order unless otherwise agreed by CasaRasoi, which may charge cancellation fees including non-recoverable mold or material costs.

3.2 Specifications

If You accept CasaRasoi’s Quote by placing or confirming an order referencing the Quote, CasaRasoi will, subject to these terms, supply Product(s) in accordance with the product grade, materials, dimensions, tolerances, packaging, and branding set forth in the Quote (except if located in notes or exclusions) (collectively, the “Specifications”). Unless otherwise agreed, quality is determined by CasaRasoi’s product specifications valid at the time of delivery; catalog descriptions and samples do not constitute a guaranteed composition unless expressly agreed in writing—consistent with common practice among industrial kitchenware suppliers. You are solely responsible for ensuring Specifications and order information are accurate and complete. You may not amend Specifications after order confirmation unless agreed by CasaRasoi.

3.3 CasaRasoi Cancellations

CasaRasoi may revoke and/or cancel any Quote/order for technical, compliance, intellectual-property, or other legitimate reasons. In such case, CasaRasoi will reimburse monies paid for such Product, if any, less non-recoverable costs already incurred where permitted by the Quote or applicable law.

3.4 Limitations

CasaRasoi will manufacture or supply Products in accordance with generally accepted kitchenware manufacturing practices and any standards expressly stated in the Quote, unless different standards are agreed in writing. Due to technical, material, mold, or capacity limitations, it may be impossible or commercially impracticable to meet certain Specifications. CasaRasoi will use commercially reasonable efforts to contact You; upon written approval, CasaRasoi may supply with amended Specifications and adjusted price or delivery terms.

3.5 Subcontracting

You acknowledge CasaRasoi may subcontract packaging, testing, warehousing, or logistics steps to trusted third parties and may share Specifications with such providers solely as needed to process Your order. You have no obligation to pay such providers directly unless otherwise agreed in writing.

3.6 Compliance with Export Controls and Destination Rules

Data, items, deliverables, and Services may be subject to trade and export control laws (“Export Laws”). You shall identify any information subject to Export Laws when providing it to CasaRasoi. You are liable for damages arising from Your non-compliance or failure to accurately identify controlled information. When requested, You will provide tariff codes, end use, and end-user information within a reasonable time. Unless specifically agreed otherwise, You are responsible for compliance with laws regarding import, food-contact labeling, transport, storage, and use of the goods in Your market.

3.7 Prohibited Uses

CasaRasoi may refuse any order that is illegal, unsafe, infringing, or otherwise inappropriate in its sole discretion, including requests that would violate sanctions or restricted-item laws, or that would require unauthorized use of third-party trademarks or copyrighted artwork.

4. PRICING AND PAYMENT

4.1 Payment

You agree to pay all fees according to the Quote or invoice. Unless otherwise agreed, payment may include advance payment, deposit plus balance before shipment, T/T, L/C, or other written terms. CasaRasoi may require payment in advance for certain orders, samples, or mold tooling. Invoices are due in full without deductions or offsets unless agreed. Invoices are final and binding unless You object in writing within ten (10) days of receipt. Overdue amounts may bear interest at the highest rate permitted by law. Prices may be quoted in USD, CNY, or another currency stated in the Quote. You will reimburse reasonable collection expenses (including attorneys’ fees) for overdue payments except where overdue due to CasaRasoi billing inaccuracies.

4.2 Taxes and Costs

Unless otherwise stated, the quoted price includes Products and Services under the shipping terms in the Quote. Additional fees may apply for alternate shipping, expedited production, special packaging, insurance, mold tooling, or custom OEM setup. You are liable for duties, tariffs, and taxes (other than taxes on CasaRasoi’s net income), unless otherwise agreed.

4.3 Suspension of Services

CasaRasoi may suspend performance if You fail to pay amounts when due, and retains title to Products until full payment is received for those and other ordered Products. CasaRasoi may refrain from manufacturing additional orders or releasing molds while invoices remain unpaid, subject to the Quote and any separate mold-ownership terms.

5. SHIPMENT ESTIMATES; RISK OF LOSS IN TRANSPORT

5.1 Shipment Estimates

Quotes contain estimated shipment dates or lead times based on input data and working conditions at contract conclusion. Estimates are preliminary and do not bind CasaRasoi except as expressly confirmed in writing. Delays arising from changed working conditions, late raw-material delivery, mold revisions, port congestion, or other causes not attributable to CasaRasoi may extend shipment dates without liability to CasaRasoi.

5.2 Risk of Loss

Unless otherwise agreed in the Quote, sales shall be Ex-Works CasaRasoi’s designated facility or warehouse in China (Incoterms® as referenced in the Quote, or Incoterms 2020 if none is stated)—consistent with common industrial kitchenware sale default terms. If You require other delivery arrangements (for example FOB Ningbo or CIF), contact CasaRasoi in writing. CasaRasoi may arrange transport, insurance, mode, and special packaging at Your cost unless otherwise agreed. Complaints for transit damage should be made in writing to the carrier with a copy to CasaRasoi within applicable time limits; this does not alter risk transfer under the agreed Incoterms.

6. WARRANTIES; APPLICATION; REMEDIES

6.1 Warranties

CasaRasoi warrants that (1) for six (6) months from the date of shipment (the “Warranty Period”), Products supplied under an Order will be free from defects in material and workmanship and conform to the Specifications, and (2) related supply services will be provided in a professional and workmanlike manner. This warranty does not cover defects or damages resulting from: (a) improper storage, handling, cleaning, use, or maintenance by Buyer or third parties; (b) alterations not authorized by CasaRasoi; (c) force majeure events; (d) normal wear; or (e) use outside recommended conditions or beyond intended kitchen/home use stated in the Specifications.

6.2 Application & Technical Advice Disclaimer

Consistent with industrial kitchenware supply practice, CasaRasoi is not liable for faulty use, assembly, or application of goods even if CasaRasoi personnel provide remote or on-site technical consultation. Voluntary advice or support is given non-binding and to the best of CasaRasoi’s knowledge. Advice regarding suitability and application does not relieve You from Your own investigations and tests for the markets and purposes You intend. Website FAQ content and catalogs are guidance only.

6.3 Specifications Warranty Disclaimer

Where You provide custom Specifications, OEM artwork, logos, or packaging designs, CasaRasoi does not warrant that Products will meet every intended end-use or retail regulation beyond conformance to agreed Specifications. If CasaRasoi cannot manufacture in accordance with Specifications, it will notify You.

6.4 Remedy

Inspect Products upon delivery. Discoverable defects should be notified in writing promptly (and in any event within a commercially reasonable period, typically within two weeks of receipt for routine inspection defects). Upon verification during the Warranty Period, CasaRasoi shall, at its sole discretion: (i) repair or rework; (ii) replace; or (iii) refund/credit the defective Product. CasaRasoi’s obligation is limited to such remedy and excludes incidental, consequential, special, or punitive damages to the maximum extent permitted by law. Failure to contact CasaRasoi within the Warranty Period may result in sales being deemed final except as required by mandatory law.

6.5 Customer Warranty

You represent that neither You nor Your directors, officers, employees, or controlled affiliates is subject to applicable sanctions, and that You will not use the Services for any purpose that would violate sanctions or export laws. You warrant that OEM logos, designs, and packaging artwork You supply do not infringe third-party rights.

7. INTELLECTUAL PROPERTY

7.1 License

Subject to these terms, CasaRasoi grants You a limited, revocable, non-exclusive license to use the Website for internal business purposes. CasaRasoi retains all ownership and IP rights to the Website and content. You shall not reverse engineer pricing methods; scrape the Website; build a competing service from Website content; copy or redistribute Website materials except as permitted; use the Website illegally; upload malicious or infringing content; misuse CasaRasoi trademarks; or interfere with Website servers or networks.

7.2 Trademarks

Names, logos, and brand marks of CasaRasoi (and related marks used by Taizhou Jiale Kitchen Co., Ltd.) on the Website may not be used without written permission. Other marks belong to their respective owners.

7.3 Your Content

CasaRasoi does not claim ownership over Your Specifications, artwork, CAD/STP files, or materials You provide (“Your Content”). You grant CasaRasoi a non-exclusive, royalty-free, sublicensable (to subcontractors as needed) license to reproduce and use Your Content to quote, manufacture, inspect, package, and deliver Products and provide requested Services. You may request return or destruction of Your Content by written notice, subject to archival copies required by law or retention policies. CasaRasoi may use aggregated anonymized insights to improve Services. You warrant You have rights to grant this license. CasaRasoi may refuse orders that infringe third-party IP and will use commercially reasonable efforts to protect confidentiality of Your Content, disclosing only as needed for Services or as required by law. Ownership of custom molds and tooling is governed by the applicable Quote or separate written mold agreement; unless otherwise agreed in writing, molds remain subject to CasaRasoi’s possession and production control until paid and released under those terms.

7.4 Your Data

Buyer Data is processed subject to our Privacy Policy. You shall maintain accurate backups of data You provide and adopt reasonable measures against transmission errors. You warrant that providing Buyer Data and CasaRasoi’s contemplated use complies with law and does not infringe third-party rights. You exclusively own Buyer Data and grant CasaRasoi a non-exclusive right to handle it to provide Services and generate aggregate data.

8. INDEMNIFICATION BY YOU

You agree to indemnify and hold harmless CasaRasoi, Taizhou Jiale Kitchen Co., Ltd., and their officers, directors, agents, employees, successors, and subcontractors from damages, losses, costs, and reasonable attorneys’ fees arising out of: (1) Your breach of this Agreement; (2) a claim that a Product manufactured to Your order violates law in Your destination market; (3) product liability or similar claims related to injury, death, or property damage caused by Products after delivery, except to the extent solely caused by CasaRasoi’s verified manufacturing defect under Section 6; or (4) a claim that any Specification or OEM artwork infringes third-party IP or other rights.

9. DISCLAIMER OF WARRANTIES

Except as expressly provided herein, Products, the Website, Services, and all content are provided “AS IS” to the maximum extent permitted by law. CasaRasoi disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. CasaRasoi does not warrant uninterrupted or error-free Website use. Because Products may be based on Your Specifications, CasaRasoi makes no warranty that Products will meet all use requirements beyond agreed Specifications, or that any design You supply is defect-free. No advice obtained from CasaRasoi creates a warranty not expressly made herein. Some jurisdictions do not allow certain exclusions; some exclusions may not apply to You.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, CasaRasoi shall not be liable for indirect, incidental, consequential, special, or exemplary damages, or for lost profits, revenues, business opportunities, data, or goodwill, whether or not advised of the possibility, arising from this Agreement or use of the Website, Services, or Products.

Under no circumstances will CasaRasoi be liable to You for more than the amount received by CasaRasoi from You under a given order for any claim relating to that order.

You acknowledge Products are often based on Specifications You provide. Accordingly, CasaRasoi is not liable for damage resulting from Products supplied in accordance with Specifications, except for material defects solely caused by CasaRasoi as covered by Section 6.

11. TERM AND TERMINATION

This Agreement commences when You accept it and remains in effect while You use the Services, unless terminated under these terms. You may terminate Website use by written notice; confirmed custom orders remain subject to Section 3.1. CasaRasoi may suspend or terminate this Agreement or Your use of the Website and Services immediately, with or without cause, including for possible violations. Termination includes removal of access. Provisions that by nature should survive (ownership, disclaimers, payment, indemnification, limitation of liability) survive termination.

12. MISCELLANEOUS

12.1 Electronic Communications

You consent to receive electronic communications from CasaRasoi and agree that electronic notices satisfy legal writing requirements, without affecting statutory rights.

12.2 Linked Sites

Third-party links are not endorsed or controlled by CasaRasoi; access is at Your own risk.

12.3 Assignment

You may not assign this Agreement without CasaRasoi’s prior written consent. CasaRasoi may assign in connection with reorganization, merger, or sale of assets.

12.4 Force Majeure

Neither party is liable for delay or failure to perform (excluding payment) resulting from causes beyond reasonable control, including acts of God, war, terrorism, embargos, government actions, pandemics, fire, floods, accidents, strikes, or shortages of transportation, fuel, energy, labor, or materials.

12.6 Limitations Period

To the maximum extent permitted by law, any cause of action arising out of this Agreement, the Website, or the Services must commence within one (1) year after it accrues, except where a longer period is mandatorily required.

12.7 Dispute Resolution and Governing Law

This Agreement is governed by the laws of the People’s Republic of China, without conflict-of-law principles that would apply another jurisdiction’s law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties shall first attempt good-faith negotiation for thirty (30) days; thereafter either party may submit the dispute to the competent people’s court where Taizhou Jiale Kitchen Co., Ltd. is domiciled in Taizhou, Zhejiang, China, unless mandatory law requires otherwise. Signed sales contracts may designate arbitration (for example CIETAC) or another forum.

12.8 Independent Contractor

Nothing in this Agreement creates a partnership, joint venture, or employment relationship between CasaRasoi and You.

12.9 Notice

You are responsible for providing a current e-mail address. Dispatch of notice to Your last provided e-mail constitutes effective notice even if delivery fails. Notices to CasaRasoi:

12.10 Waiver

Failure to enforce any provision on one occasion is not a waiver of any other provision or of that provision on another occasion.

12.11 Severability

If any portion is held invalid, it shall be construed to reflect original intent as nearly as possible, and remaining portions remain in effect.

12.12 Entire Agreement

This Agreement (together with the applicable Quote, confirmed order, and the Privacy Policy) is the final, complete, and exclusive agreement regarding its subject matter and supersedes prior discussions. No modification is effective unless agreed in writing by CasaRasoi (including updated Website terms, or a signed Quote/order confirmation).
